TERMS AND CONDITIONS

INSTALLATION AND TRAINING

Equipment installation and operator training will be conducted by the Seller's technicians for a period not exceeding nine (9) calendar days, 8 hours per day. The Seller will cover the wages, hotel accommodation, and return airfare for the technicians during the installation period. Additionally, the Seller will be responsible for transporting the Equipment either to the Buyer's plant or rigger's warehouse. However, the Buyer will be accountable for other costs associated with installation, including rigging, site preparation, electrical connection to the Equipment, insurance premium for moving and rigging, and any additional expenses required for access to the premises.

The Seller will provide the Buyer with the necessary information for installation preparation, such as the foundation floor plan, power consumption and specifications, and required installation facilities. It is the Buyer’s responsibility to ensure that the site and electrical power supply are ready for installation and Equipment operation well in advance. The Buyer should also provide the materials for die-cutting make-ready, Equipment test running, and operation training at their own expense. In the event that these materials are not available at the time of installation, resulting in an extended stay for the Seller's technician, the Buyer will be responsible for covering the wages, hotel accommodation, meals, penalty of air ticket, and other related expenses incurred due to the extended stay. Training will begin right after installation, and this could include evenings and weekends.

APPLICATION AND PERFORMANCE

The Equipment is designed to perform various die-cutting jobs on a wide range of stocks. However, the Buyer must understand that the practical operation, performance, and applications, such as running speed and application of specific types of jobs, are influenced by external factors beyond the Seller’s and the manufacturer’s control. These factors include the nature of the stock, pattern and quality of dies, length of cutting and creasing rules, and more. To achieve high production and avoid unnecessary damage to the Equipment, the Seller and the manufacturer strongly recommend that the Buyer consults a professional die-cutting consultant or reach out to the Seller for guidance when dealing with unfamiliar job types on the Equipment.

WARRANTY

The Seller warrants that the Equipment will be free from defects in materials and workmanship when used properly and in accordance with the provided directions for a period of 12 months starting from either the 15th day of arrival at the destination or the date of arrival at the end user's premises, whichever comes first. In case of a breach of warranty, the Seller's remedy will be limited to the replacement of defective parts (mechanical and electrical), repair, and related labor. Consequential damages for breach of warranty, where the claimed loss is commercial, are excluded. No warranties, beyond those stated in writing, are expressed or implied.

The warranty mentioned above is the only warranty provided by the Seller for the specified Equipment in this Contract. No other warranties, whether statutory, written, oral, expressed, or implied, including but not limited to warranties of fitness for a particular purpose or merchantability, will apply.

PLEASE NOTE THAT THIS WARRANTY WILL BECOME VOID IMMEDIATELY IF THERE IS A BREACH OF CONTRACT BY THE BUYER OR IF THE EQUIPMENT IS MOVED, MODIFIED, OR UNDERGOES ANY MAJOR REPAIRS PERFORMED BY UNAUTHORIZED PERSONNEL WITHOUT THE SELLER'S WRITTEN CONSENT.
